AlgoCademy Partner Agreement

1. Who this is between, and how you accept it

This agreement is between ALGOCADEMY EDUCATIONAL TECH SRL, a company registered in Romania, registered office 12 Decebal Boulevard, Building 57, Staircase 1, Floor 5, Room 1, Bucharest, Romania, Trade Registry no. J40/17449/2020, sole registration code 43463459 ("AlgoCademy", "we"), and the person or company whose details are entered on the AlgoCademy partner page ("you", the "Partner").

You accept it by ticking the box and sending the application (or by clicking "Accept" on the partner page). We record the version you accepted, the date and time, and the IP address it came from. It is a contract concluded by electronic means (Romanian Law no. 365/2002 on electronic commerce) and applies from that moment. Before your first payment, we also send you this version to sign electronically (through DocuSign), for our accounting records. You can view and print this version at any time on the partner page.

2. Words used here

Partner link: the link with your code that we give you on the partner page. Customer: someone who opens your partner link and then creates an AlgoCademy account, or is signed in without ever having paid and without another partner's code, and later pays us. Payment: each amount a Customer pays us for AlgoCademy, the first purchase and each renewal. Completed Payment: a Payment that is 30 days old and has not been refunded or charged back.

3. Your channels

You are responsible for your channels, videos, posts and sites and what they say, and you keep them within the law. In particular you:

• say clearly, where your audience sees the link, that it is an affiliate link and that you are paid for promoting AlgoCademy (for example "affiliate link" or "#ad"), as the rules where your audience lives require (in the US, the FTC's Endorsement Guides);
• don't send unsolicited messages (spam) with your link or our name;
• don't make claims about AlgoCademy that aren't true (prices, guarantees, results, job offers);
• don't bid on "AlgoCademy" or similar words in search ads, and don't register names, handles or domains with our name, without our written consent;
• don't use your own link for your own purchases or for accounts you control: those don't count.

4. What you do and what we pay you

You provide advertising and promotion services for AlgoCademy: you promote it to your audience with your partner link. For them we pay you a fee: the rate shown on your partner page (30% unless we agreed another rate with you in writing) of each Completed Payment, after a 3% charge for payment processing, for as long as this agreement is in force, renewals included. A refund, chargeback or credit is taken off the fee it belongs to. We may refuse any purchase; no fee is due on purchases we don't complete. A learner counts for the first partner whose link they used.

5. Invoices: we write them for you (self-billing)

You agree that AlgoCademy issues the invoices for your fee in your name and on your behalf (self-billing, art. 319(18) of the Romanian Fiscal Code and art. 224 of Council Directive 2006/112/EC). This is the prior agreement those rules require.

• Early each month we issue one invoice for all your Completed Payments not invoiced yet, when they reach $50.00, or $200.00 if we pay you by bank transfer to a country outside Europe; a smaller amount waits for the next month. The invoice uses the billing details on your partner page, which you keep accurate and complete, and is numbered in a series of its own for you.
• How you accept each invoice: on the partner page you click "Accept", or you tell us what is wrong ("Something's wrong"). An invoice you don't dispute within 14 days of being paid counts as accepted.
• You don't issue your own invoices for the same fee. You can end self-billing at any time by email; after that you send us your own invoices.
• You remain responsible for the tax consequences of your invoices in your country (for example VAT registration or reporting).
• Partners resident in Romania issue their own invoices through RO e-Factura; for them our monthly document is a statement of the fee due.

6. Payment

We pay in US dollars, by PayPal or bank transfer to the account on your partner page, within 15 days after an invoice is accepted. We make the first payment once you have signed this agreement electronically (section 1). Each side pays its own bank or provider fees.

7. Taxes

You are an independent contractor and pay the taxes on what you earn in your country. For partners outside Romania, the fee pays for advertising and promotion services provided abroad, and we pay it without withholding Romanian tax. If a law ever requires us to withhold tax on a payment, we tell you before we do and give you proof of the tax paid.

8. Our name and logo

We give you a limited, non-exclusive, non-transferable, revocable licence to use our name, logo and the material we provide to promote AlgoCademy with your partner link, and for nothing else. You don't change them or suggest that we endorse anything else. Everything about them stays ours, and the licence ends with this agreement.

9. Data

Customers and their data are AlgoCademy's. The partner page shows you only what you need: dates, plans, countries and amounts, never names or emails. We use your details to run the programme, pay you and keep the accounting and tax records the law requires, as our Privacy Policy describes; we don't sell them.

10. Confidentiality

You keep confidential any non-public information we share with you under this agreement (numbers, plans, prices before they are public), during it and after, unless the law requires you to disclose it, in which case you tell us first where you can.

11. Ending it

Either of us can end this agreement at any time by email. We pay the fee on Completed Payments up to the end date. If we end it because you broke it (for example spam, false claims or fake purchases), the fee linked to the breach is not due. When it ends you remove your partner links and our name and logo.

12. Liability

AlgoCademy is provided "as is". To the extent the law allows, neither of us is liable for indirect or consequential losses, such as lost profits, and our total liability under this agreement is limited to the fees paid to you in the 12 months before the claim. Neither of us is liable for delays caused by events beyond reasonable control (force majeure).

13. Changes

We may change this agreement with at least 30 days' notice by email or on the partner page. The new version applies to Payments after it takes effect; fees already earned stay under the version they were earned under. If you don't agree, you can end the agreement before the change takes effect; the partner page asks you to accept the new version before showing new figures.

14. Everything else

Romanian law governs this agreement, and the courts of Bucharest decide disputes. You can't transfer this agreement without our written consent. If a part of it is invalid, the rest still applies. It is the whole agreement between us about the partner programme and replaces earlier ones for Payments after you accept it.
